The Outsiders Artwork Contest Rules

Contest Dates: The producers (the “Sponsors”) of the live stage musical ‘The Outsiders’ (the “Musical”) are running a contest (the “Contest”) subject to the terms and conditions set forth herein (the “Official Rules”) from 12:00 noon (EST) on April 2, 2025 through 6:00pm (EST) on April 6, 2025 (the “Contest Period”). Eligibility: The Contest is open to legal residents of the fifty (50) United States and the District of Columbia, who are eighteen (18) years of age or older at the time of entry (each, a qualifying “Contestant”). Past and present performers in the Musical, owners, members, managers, partners, employees and hired agents of the Sponsors and each of their respective agents, representatives, officers, directors, shareholders, and employees, and the immediate families (spouse, and parents, children and siblings, and their respective spouses regardless of where they live), and individuals living in the same households, whether related or not, of the above, are not eligible to enter or win the Contest. 

Each Contestant by participating in the Contest agrees to be bound by the Official Rules and that of the Sponsor’s decisions. Void in Puerto Rico, United States Territories and Possessions, overseas military installations and where prohibited or restricted by law. The Contest is subject to all applicable federal, state, and local laws and regulations. U.S. and New York State law govern this Contest. To the extent that the Contest is made open to minors and/or if entries include minors, prizes may be awarded to the minor’s parent or legal guardian and a parent or guardian of any participant who is a minor must sign a release on behalf of the minor to be eligible to receive a prize, but the Sponsor reserves the right to refuse to award a prize to or on behalf of any minor, a parent or guardian of any Contestant or participant who is a minor must sign a release on behalf of the minor to be eligible to receive a prize, but the Sponsor reserves the right to refuse to award a prize to or on behalf of any minor. The potential Contest winner and, if the potential Contest winner is under the age of the majority in their state of residence (which is eighteen (18) in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi), the potential prize winner’s parent or guardian, may (in Sponsor’s sole discretion) be required to sign and return a declaration of eligibility and any other form necessary to verify eligibility, along with the required releases within twenty four (24) hours after the first (1st) delivery attempt to said Contestant’s social media account (as described below) or e-mail address in order for the Contest prize winner to be qualified for the prize. How to Enter: To participate in the Contest, a qualifying Contestant must create a piece of art in which they feature the word “Stay Gold” (the “Artwork”). The Contestant must then submit their Artwork by posting the artwork on one or more of the following social media sites/feeds: (i) Instagram; (ii) X; and/or (iii) TikTok – and to be considered for the Contest, the Contestant’s Artwork must be posted with the hashtag #OutsidersOneYear and said Contestant’s user profile must be set to public in order to allow the Sponsor to access the artwork. 

Contest Rules, Winner Notification and Prizes: Each artwork properly submitted as set forth above by a qualifying Contestant during the Contest Period shall be considered by the Sponsors, who will have sole and absolute authority and discretion to determine merit, level of creativity and caliber of performance/execution of the artwork. Based on the Sponsors’ subjective determinations of the foregoing and other criteria, the Sponsors will select one winner who will have their artwork recreated by Cecile Madonna to be featured at the Jacobs Theater. 

The Contest winner will be announced by the Sponsors via the Musical’s Instagram page, located at: https://www.instagram.com/outsidersmucial on or shortly after Wednesday April 8,2025. The Sponsors will then attempt to notify the Contest winner via direct message and personal page/account on/from which the Contest winner initially posted his or her winning artwork. To the extent that the Sponsors do not hear back from the Contest winner within thirty six (36) hours of attempting to notify them directly, the Sponsors shall be entitled to award the Contest winner’s prizes as described herein to any other runner-up Contestant who should thereafter respond to Sponsor’s notice, or else the Sponsors may award those prizes to no one at all, at the Sponsor’s sole and absolute discretion. The Sponsor reserves the right to cancel, terminate or modify the Contest if, in the sole discretion of the Sponsor, it is impossible or impractical to complete the Contest as planned for any reason, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort. The Sponsor may require, on request, proof of identity as to the rightful owner of the social media account from/upon which the Artwork was initially sent/posted. The Sponsor reserves the right, in its sole discretion, to disqualify any Artwork if that Artwork’s source and sender cannot be reasonably determined. In the event of termination of the Contest by Sponsor, Sponsor reserves the right to award any prize(s) in a manner deemed fair and equitable by Sponsor. In no event will the type and quantity of prizes awarded exceed the number of prizes described in these Official Rules. 

Prize Conditions: To the extent that multiple persons contributed to and/or helped to perform the winning Artwork, the Contest winner who actually performed the majority of the winning Artwork performance shall be the winner for purposes of the receiving the prize(s) described herein and to the extent that that person cannot be determined, then the person on or from whose social media feed/account the winning Artwork was initially published (provided that that person be one of the performers in the winning Artwork), shall be entitled to receive the Contest prizes. 

Publicity: By participating, where allowed by law, all Contest winner(s) grant Sponsor exclusive permission and royalty-free right to use their names, images, recordings, copyrights inherent in the Artwork and/or any photographs, videos, films, voices, names, signatures and likenesses in connection with the specific promotion, advertising and publicity of the Musical, the Contest and other contests associated with the Musical or any exploitation thereof and Contestant does waive any claims to royalty, right, or remuneration for such use. By participating in the Contest, where allowed by law, Contestants agree that the Sponsor may use such information, images, names and copyrights for marketing purposes, and may include the names of the Contest winners in a publicly available winners’ list. 

Consumer Created Content: To the extent that the Artwork includes any proprietary copyrights or original protectable creative material created and/or owned by the Contestant, by submitting his or her Artwork, Contestant: (1) agrees that his or her disclosure is gratuitous, unsolicited and without restriction and will not place the Sponsor or Contest under any fiduciary or other obligation, that the Sponsor is free to disclose, publish, transmit, reproduce in any media, perform publicly and otherwise, make copies of and otherwise exploit on a commission and royalty-free basis the Artwork and any and all copyrights contained therein on a non-confidential basis to anyone or otherwise use the copyrights without any additional compensation to Contestant or any other third party; (2) Contestant acknowledges that, by acceptance of its submission, the Sponsor does not waive any rights to use similar or related ideas previously known to or owned by Sponsor, or developed by its employees, or obtained from sources other than Contestant; (3) Contestant is verifying that it is the owner and producer of the submitted material and that no third party ownership rights exist to any material submitted which have not already been assigned to Contestant and that Contestant does otherwise have the full right and legal authority to grant the uses and other rights granted herein with respect to the Artwork and all copyrights (4) Contestant is hereby granting the Sponsor a perpetual, worldwide, non-exclusive, royalty-free, sub-licensable (through multiple tiers) right and license to use, publish, reproduce, display, perform, adapt, modify, distribute, have distributed and promote such content as displayed in the Artwork in any form, in all media now known or hereinafter created, anywhere in the world, for any purpose. BY SUBMITTING THE ARTWORK AND ANY OTHER CONTENT, CONTESTANT ACKNOWLEDGES THAT HIS/HER CONTENT MAY BE POSTED ON SPONSOR’S AND THE MUSICAL’S WEBSITE, IN SPONSOR’S DISCRETION. 

Content: (a) must comply with the Official Rules and any terms of service on the Sponsor’s and Musical’s website, as applicable; (b) must be uploaded in format specified, if any, and must comply with the posting requirements set forth above; (c) cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, sexual orientation, professional or age group, profane or pornographic, contain nudity or any materially dangerous activity; content cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (d) cannot be obscene or offensive, endorse any form of hate or hate group; (e) cannot defame, misrepresent or contain disparaging remarks about Sponsor, the Musical or its performers, or other people, products or companies; (f) cannot contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; (g) cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media) without permission; Sponsor does not permit the infringement of others’ rights and any use of materials not original to the Contestant (except copyrighted materials owned by Sponsor) is grounds for disqualification from the Contest. Do not copy your favorite movie, book or photo or include materials, images, graphics, music or trademarks belonging to any third parties or incorporate the names, voices, likeness or personas of any party other than yourself unless you have obtained all rights necessary to permit you to use same in connection with your content and grant the rights herein granted to Sponsor; (h) no background artwork should appear in an content unless it is an original work of the Contestant. Any artwork, murals, etc. that can be seen in the content must be created solely by the Contestant or Contestant must be the sole owner of all copyright interests therein; (i) cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission; (j) cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and (k) cannot depict, and cannot itself, be in violation of any law. CONTESTANT CREATED CONTENT POSTED TO A SPONSOR OR MUSICAL WEBSITE OR SOCIAL MEDIA PAGE OR ACCOUNT WERE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL CONTESTANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Contestants. Sponsor reserves the right to waive the Contest entry requirements set forth herein in its reasonable discretion. Sponsor reserves the right, in its reasonable discretion, during or upon completion of the Contest Period, to request that any Contestant resubmit his or her entry which fails to comply with the Contest entry requirements prior to any judging or voting period. By submitting content Contestant warrants and represents that it: (a) is Contestant’s original work and that to the extent that it is not, Contestant has secured an assignment of all third party copyrights and other rights depicted/set forth therein which do not otherwise belong to Sponsor, (b) has not been previously published, (c) has not won previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity other than Sponsor; (e) that Contestant has obtained permission from any and all persons whose names, likenesses, or images are used in the Artwork (other than those belonging to the Sponsor) and (f) and that publication of the Artwork via various media including but not limited to any Internet, Facebook, TikTok, Instagram, YouTube and/or X posting, will not infringe on the rights of any third party rights other than those belonging to Sponsor. Any such entrant will indemnify and hold harmless, Sponsor, its agents and affiliates from any claims to the contrary. Any Contestant whose work includes likenesses of third parties or contains elements not owned by the Contestant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including Sponsor’s use of such content, in a form satisfactory to administrator, upon request, prior to award of prize and/or naming of Contestant as a winner or anytime thereafter as Sponsor may so request. By accepting a prize, the Contest winner agrees that his or her content will be deemed a work made for hire under the Copyright laws of the United States, but if it cannot be so deemed, then the Contest winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Artwork and all proprietary elements of the Artwork not owned by Sponsor, including all but not limited to all copyright and trademark rights which Contestant may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Contest winner hereby waives in favor of Sponsor, all rights of “droit moral” or “moral rights of authors” or any similar rights or principles of law that Contest winner may now or later have to their content. Sponsor reserves the right to alter, change or modify the content of any Artwork, in its sole discretion. Upon request of Sponsor, Contestants shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor with respect to the Artwork, as reasonably necessary to establish the ownership of record of the right, title and interest in and to the Artwork of the copyrights transferred and “moral rights of authors” waived under the Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment. Limitation of Liability: By participating in the Contest, each Contestant and winner waives any and all claims of liability against the Sponsor, its employees and agents and their respective employees and agents, for any personal injury or loss which may occur from the conduct of, or participation in, the Contest or from the award, receipt and/or use or misuse of any prize, including any travel related thereto. As a condition of participating in the Contest, Contestants agree and acknowledge that in order to receive a prize, Contestants may be required to sign an official waiver form provided by the Sponsor and agree to the terms stated within the specific Contest rules, including but not limited to the prize conditions in this paragraph. Contest winner and if applicable, winner’s guest, must comply with all Official Rules and regulations. Failure to do so may result in forfeiture of prize in its entirety. The Sponsor will have no further obligation to Contest winner. By accepting a prize, the Contest winner must agree to the prize conditions on participation and must sign a release, if any, to be eligible to receive the prize and hereby agrees that: (i) that all decisions of the Sponsor and judges with respect to the Contest are final and binding; (ii) to release the Sponsor and their respective parent companies and affiliates, officers, directors, employees, agents, and licensees from any and all claims in connection with the Contest and the award or use of the prizes; (iii) to allow the Sponsor to use Contestants’ names, voices, photographs, images, likenesses, biographical material, in any advertising or broadcasting material relating to this Contest, without additional financial or other compensation; and (iv) where allowed by law, sign a publicity release confirming such consent prior to acceptance of the prize. The Sponsor is not responsible or liable to any Contestant or winner or any person claiming through such Contestant or winner for failure to supply the prize or any part thereof, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, volcanic eruption, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other cause beyond the Sponsor’s sole control. All taxes, related fees, other costs and expenses related to prize acceptance and use not specified in the Official Rules as being provided are the sole responsibility of Contest winner. The Sponsor does not make, and is not responsible in any manner for, any warranties, representations, or guarantees, express or implied, in fact or law, relating to any prizes, regarding the use, value or enjoyment of the prize, including, without limitation, its quality, mechanical condition, or fitness for a particular purpose. Sponsor and its agents are not responsible for technical, computer, mechanical, printing, typographical, human or other errors relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest related materials; or for stolen, lost, late, misdirected, damaged, incomplete, inaccurate, undelivered, delayed or illegible entries or; for electronic, computer, or telephonic malfunction or error, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, or process any transaction thereon. If in the Sponsor’s opinion, for any reason this Contest is not capable of running as planned, or there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Contest, the Sponsor reserves the right in its sole discretion to disqualify any individual (and void his/her entry and/or prevent him/her from future participation) who tampers with the entry process and/or who is acting in violation of these Official Rules, to modify or suspend the Contest, or to terminate the Contest and at Sponsor’s discretion conduct the drawing to award the prize(s) using all eligible non suspect transactions and entries received as of the termination date. As a condition of entering the Contest, Contestants agree that: (a) under no circumstances will Contestants be permitted to obtain awards for, and Contestants hereby waive all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or connected with this Contest, or the prizes awarded, shall be resolved individually, without resort to any form of class action; and (c) any and all claims, judgments, and awards shall be limited to actual outof-pocket costs incurred, and in no event shall Contestant be entitled to receive attorneys’ fees or other legal costs. Sponsor reserves the right to modify prize award procedures at their discretion. Caution: Any attempt by a Contestant or any other individual to deliberately damage any online service or website or undermine the legitimate operation of this Contest may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Conduct and Decisions: By participating in the Contest, Contestants agree to be bound by the decisions of Sponsor personnel. Persons who violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Sponsor will interpret the Official Rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Contest and the Sponsor’s decisions concerning such disputes shall be final. If the conduct or outcome of the Contest is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Sponsor, the Sponsor reserves the right to terminate this Contest, or make such other decisions regarding the outcome as the Sponsor deems appropriate. Governing Law and Forum Selection: This Contest and these Official Rules shall be governed by and interpreted in accordance with the laws of the State of New York applicable to agreements entered into and wholly performed therein. All claims, disputes or disagreements which may arise out of the interpretation, performance or breach of these Official Rules shall be submitted exclusively to the jurisdiction of the state and/or federal courts located in the State of New York, in New York County, Contestant hereby consents to the jurisdiction of such court or forum over any such claim which may be asserted. Miscellaneous: Sponsor reserves the right to determine eligibility should special circumstances arise, all decisions are considered final and binding. These Official Rules are designed to be fair and equal to all participants. Odds of winning depend upon the number of eligible Artwork received during the Contest Period. Each Contest winner must submit proof of eligibility and may also be required to sign the Sponsor’s release form to claim the prize. The Sponsor may substitute prizes, amend the rules or discontinue the Contest at any time. The Sponsor disclaims any responsibility to notify Contestants of any aspect related to the conduct of the Contest. As a condition of participating in the Contest, Contestants agree (and agree to subsequently confirm in writing if so requested to): (a) under no circumstances will Contestant be permitted to obtain awards for, and Contestant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. Participation in the Contest constitutes Contestant’s full and unconditional agreement to, and acceptance of these contesting guidelines and the specific Contest’s Official Rules. Winning a prize is contingent upon Contestant’s fulfillment of all requirements set forth therein. To the extent that any part or provision of these Official Rules are deemed invalid or illegal by a court of competent jurisdiction, that portion shall be severed herefrom and the remainder of the Official Rules shall continue on in full force and effect as if the severed provision had never been a part hereof. No waiver, whether express or implied, of any provision, right, remedy or default hereof or hereunder shall be deemed or shall constitute a waiver of any other provision, right, remedy or default (whether or not similar) nor shall such waiver constitute a continuing or future waiver of that provision, right, remedy or default hereunder.
